1. Introduction
ALLDONE Asiatic Solutions Pvt. Ltd. (“Company”) provides logistics, sourcing, localization, consulting, and digital marketing services (“Services”). These Terms & Conditions (“Terms”) govern your use of our Services. By accessing or using the Services, you agree to these Terms. If you disagree, do not use our Services.
2. Definitions
- “User” means any individual or entity using the Services.
- “Content” means all materials provided by the Company or uploaded by Users.
- “Proposal” means a mutually agreed written scope of work, deliverables, and fees.
- “Confidential Information” means non-public information marked or conveyed as confidential.
3. Scope of Services
The Company provides two core solutions:
- All-in-One Asian Expansion: Freight management, customs clearance, supplier sourcing & QC, localization, go-to-market consulting.
- Digital Marketing: SEO, SEM/PPC, social media, content strategy, analytics & automation.
Specific deliverables, timelines, and milestones will be documented in a Proposal. Proposals prevail over these Terms.
4. Account Registration & Security
To access certain Services, you must register and create an account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain confidentiality of your login credentials.
- Notify us immediately of any unauthorized use.
5. Access & Acceptable Use
You may use the Services only for lawful purposes and in compliance with these Terms. Prohibited uses include:
- Violating any applicable law or regulation.
- Interfering with security or integrity of the Services.
- Reverse engineering or unauthorized scraping of data.
6. Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with notice via email or on the website. You may terminate your use if changes materially reduce functionality.
7. Fees & Payment
Fees are set out in the Proposal. Unless otherwise agreed:
- Invoices are due within 30 days of receipt.
- Late payments incur 1.5% monthly interest or maximum allowed by law.
- Non-payment may result in service suspension.
8. Taxes
You are responsible for all applicable taxes arising from the Services, excluding taxes based on the Company’s net income.
9. Refund Policy
Our Services are customized and project-based. Refunds are handled as follows:
- Cancellations: Full refund if cancelled within 7 days of contract signing, minus third-party costs incurred.
- Work Quality Issues: If deliverables materially deviate from the Proposal, we will remediate within 14 days. If unresolved, you may request a partial refund proportional to undelivered work.
- No Refund: After final delivery acceptance or 30 days post-delivery.
10. Intellectual Property
Unless otherwise agreed, the Company retains ownership of all methodologies, tools, and deliverables until full payment. Upon payment, you receive a perpetual, royalty-free license to use the deliverables for your business purposes.
11. Confidentiality
Each party agrees to keep Confidential Information strictly confidential and use it only to perform under these Terms. Exclusions: information already public or independently developed.
12. Data Protection
We process personal data in accordance with our Privacy Policy. You agree to obtain any required consents and comply with applicable data protection laws.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. THE COMPANY DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE PRIOR 12 MONTHS. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
15. Termination
Either party may terminate for material breach if not cured within 30 days of notice. Upon termination, you pay for all Services rendered up to termination date and must return or destroy Confidential Information.
16. Governing Law & Dispute Resolution
These Terms are governed by Indian law. Disputes will be resolved by arbitration in Moradabad under the Arbitration & Conciliation Act, 1996.
17. Amendments
We may update these Terms by posting a revised version with a new effective date. Continued use constitutes acceptance.
